Terms of Use

1. Purpose

These General Terms of Use (the "Terms") set out the conditions under which Joodness makes its digital platform available and the rules that every user undertakes to follow.

The platform connects companies, associations and foundations and volunteers in the context of corporate social responsibility (CSR), sponsorship, volunteering and solidarity initiatives.

The financial conditions of the subscription are set out in the General Terms of Sale.

2. Acceptance

Creating an account constitutes full and complete acceptance of these Terms. A user who does not accept them must refrain from using the platform.

Where a user acts on behalf of a legal entity, they represent that they have the authority to bind it.

3. Joodness's role as a technical intermediary

This point is essential and governs the whole of these Terms.

Joodness provides a technical matchmaking service. Joodness:

• is not the author of the projects published, nor the beneficiary of the donations and funding;
• does not issue donation receipts: these are issued by the beneficiary association, under its sole responsibility, the platform only providing the technical means to generate them;
• does not guarantee that projects will be carried out, how funds will be allocated, or the accuracy of the information published by associations and companies;
• is not a party to the donation or funding, which is concluded directly between the donor or the company and the beneficiary association.

4. User accounts

4.1 Registration

The user provides accurate, complete and up-to-date information, and updates it if it changes. Joodness may suspend an account whose information proves to be inaccurate.

4.2 Security

The user is responsible for keeping their login details confidential and for any activity carried out from their account. They inform Joodness without delay of any unauthorised use.

4.3 One account per person

An account is personal. It may not be transferred, shared or resold.

5. Obligations specific to associations and foundations

Every user association or foundation represents and warrants that it:

1. Is duly constituted and declared in Morocco, and holds a valid receipt of declaration (récépissé) issued by the local administrative authority (wilaya, prefecture or province);
2. Keeps up to date on the platform all supporting documents for its status, and reports without delay any change, suspension or withdrawal;
3. Claims a tax-deductibility regime only if it is entitled to it. Moroccan law (article 10-I-B-2° of the General Tax Code) restricts the deductibility of donations to an exhaustive list of categories of bodies. A merely declared association does not give entitlement to a deduction. An association claiming such a regime must evidence either its recognition of public utility or a partnership agreement concluded with the State, and provide the reference;
4. Holds the prior authorisation required for any appeal for public donations. Under Law No. 18-18 on the organisation of appeals for public donations and the distribution of aid for charitable purposes, any appeal addressed to the public — including by electronic means — is subject to prior administrative authorisation. The association enters on the platform the reference and date of its authorisation before publishing a project open to the public;
5. Declares the foreign aid it receives to the Secretariat-General of the Government, stating the amount, origin and purpose, within 30 clear days of receiving it (article 32 bis of Dahir No. 1-58-376). The platform flags this obligation when funding of foreign origin is credited; the declaration is the association's sole responsibility;
6. Uses the funds received for the stated purpose, and accounts for their use to donors through the platform's tracking tools.

Joodness may suspend the publication of a project or access to the account of an association that does not comply with these undertakings.

6. Obligations specific to companies

The user company:

1. represents that it has the necessary authority to commit the sponsorship or funding expenditure made through the platform;
2. acknowledges that the tax deductibility of a donation depends on its own tax situation and on the conditions laid down by the General Tax Code, and that no statement on the platform or on a receipt constitutes a guarantee of deductibility;
3. is informed that the method of payment affects deductibility: expenses paid in cash are deductible only up to 5,000 dirhams per day and per payee, without exceeding 50,000 dirhams per month and per payee (article 11-II of the General Tax Code).

7. Obligations specific to volunteers

The volunteer provides accurate information, honours the registration commitments they make to an association and informs it if they are unable to attend. Volunteering is unpaid and creates no relationship of subordination or employment contract between the volunteer, the association or Joodness.

8. Prohibited uses

It is prohibited to use the platform to:

• publish false, misleading, defamatory, abusive or hateful content, or content that infringes the privacy or rights of third parties;
• solicit funds for a non-existent project, or divert funds collected from their stated purpose;
• launch an appeal for public donations without the authorisation required by Law No. 18-18;
• circumvent the platform's payment mechanisms or evade the commission due;
• undermine the security or integrity of the platform, access it without authorisation, or extract its data on a massive scale;
• use the platform for money laundering or terrorist financing, or in breach of any other legal provision.

9. Moderation and suspension

Joodness may, without notice where urgency or seriousness justifies it, remove content, suspend a project or suspend an account in the event of a breach of these Terms or of the law.

The user concerned is informed and may submit observations. Suspension of an association's account does not prevent funds already collected from being returned to their legitimate beneficiary.

10. Service availability

Joodness endeavours to keep the platform available, without being bound to do so uninterruptedly. Access may be suspended for maintenance, updates or in the event of force majeure. Joodness endeavours to announce any scheduled interruption in advance.

11. Liability

Joodness is bound by an obligation of means (best-efforts obligation).

It cannot be held liable for:

• content published by users, or the accuracy of the information they provide;
• the carrying out of projects or the allocation of funds by associations;
• the tax treatment of a donation in a donor's own situation;
• an association's compliance with its legal obligations, in particular regarding authorisation of appeals for public donations and declaration of foreign aid;
• indirect damage, such as loss of business, turnover, data or reputation.

Nothing in these Terms excludes Joodness's liability in the event of gross negligence or wilful misconduct, or where the law prohibits it.

12. Evidence

In accordance with Law No. 43-20 on trust services for electronic transactions, the electronic records kept by Joodness — connection logs, transaction histories, time-stamped acceptances — are admissible as evidence of the operations carried out on the platform and are authoritative between the parties unless proven otherwise.

14. Changes to the Terms

Joodness may amend these Terms. Any substantial change is notified to users at least 30 days before it takes effect. Continued use of the platform after that date constitutes acceptance. If they do not accept, the user may terminate their account under the conditions set out in the Terms of Sale.

15. Termination

The user may delete their account at any time. Deletion does not entail erasure of data whose retention is required by law, in particular accounting documents and donation receipts — see the privacy policy.

16. Governing law and jurisdiction

These Terms are governed by Moroccan law. The jurisdiction clause is set out above.
