1. Purpose and scope
These General Terms of Sale (the "Terms of Sale") govern the paid services provided by Joodness:
- the subscription to the platform, taken out by a company, an association or a foundation;
- the commission charged on funding and donation operations carried out through the platform.
They supplement the General Terms of Use, which remain applicable.
2. The customer
The customer is the legal entity — company, association or foundation — that takes out the subscription, or the natural person acting for professional purposes.
Where the customer is a consumer within the meaning of Law No. 31-08 enacting consumer protection measures, they benefit from the protective provisions of that law, in particular the right of withdrawal provided for in article 8 below.
3. Plans and prices
The subscription plans, their functional content and their prices are presented on the platform's Pricing page, which forms an integral part of these Terms of Sale.
- Prices applicable in Morocco are expressed in dirhams (MAD).
- Unless otherwise stated, prices are shown excluding taxes. Value added tax applicable to services is added at the rate in force on the invoice date.
- The applicable price is the one in force on the day of subscription or renewal.
4. Trial period
Some plans include a free trial period, whose length is indicated at subscription. No amount is due during this period. At its end, the subscription continues on the chosen plan and becomes payable, unless it is cancelled before the due date.
5. Subscription
Subscription is made online. It is firm and final once:
- the plan and billing period have been selected;
- the billing information has been checked and validated;
- these Terms of Sale have been expressly accepted;
- payment has been confirmed.
A summary is sent to the customer on a durable medium, in accordance with article 29 of Law No. 31-08.
6. Term and renewal
The subscription is taken out for the chosen period — monthly or annual — and is tacitly renewed for periods of the same length.
The customer may object to renewal at any time from their account, with effect at the end of the current period. A reminder is sent before each annual renewal date.
7. Payment
7.1 Terms
Payment is made by the means offered on the platform. It is due in advance, at subscription and then at each renewal.
7.2 Non-payment
If a payment fails, Joodness informs the customer and makes further attempts. Failing regularisation within fifteen (15) days, access to the paid features may be suspended, then the subscription terminated. The customer's data remains accessible in read-only mode for thirty (30) days from the suspension.
7.3 Invoicing
An invoice is issued at each due date and made available in the customer area. It bears the particulars required by Moroccan regulations.
Electronic invoicing. Article 145-IX of the General Tax Code, introduced by the 2024 Finance Law, establishes a progressive obligation of electronic invoicing. Joodness will comply with it according to the timetable applicable to its category of business. The technical arrangements for issuing invoices may change accordingly, with no effect on prices or services.
8. Right of withdrawal
Where the customer is a consumer within the meaning of Law No. 31-08, they have seven (7) clear days from the conclusion of the contract to withdraw, without having to give reasons or pay a penalty (article 36 of Law No. 31-08).
The right is exercised from the customer area or in writing to the contact address. Joodness refunds the sums paid without delay and at the latest within fifteen (15) days following the date on which the right is exercised.
This right does not apply where the customer acts for professional purposes. The free trial period provided for in article 4 in practice gives them an equivalent opportunity to evaluate the service without commitment.
9. Termination
9.1 By the customer
The customer may terminate at any time from their account, with effect at the end of the current period. Sums relating to a period already begun are not refunded, subject to article 8.
9.2 By Joodness
Joodness may terminate the subscription:
- in the event of a serious breach of the Terms of Use or of these Terms of Sale not remedied within fifteen (15) days of formal notice;
- immediately, in the event of unlawful use of the platform or of a breach of the legal obligations of associations recalled in article 5 of the Terms of Use;
- with sixty (60) days' notice if the service is discontinued, with a pro rata refund for the unexpired period.
9.3 Effects
Termination ends access to the paid features. The customer has thirty (30) days to export their data. Data whose retention is required by law is kept in accordance with the privacy policy.
10. Commission on operations
10.1 Basis and rate
Joodness charges a commission on funding and donation operations carried out through the platform. Its rate is shown on the Pricing page and recalled before each operation.
10.2 Nature
The commission remunerates a service provided by Joodness. It constitutes Joodness's turnover, is subject to value added tax at the rate in force, and is invoiced separately.
10.3 Transparency towards the donor
The commission is not part of the donation. Its amount is displayed separately before the operation is validated, and the amount actually paid over to the beneficiary association is indicated. The donation receipt issued by the association covers the amount it received.
10.4 Payment provider fees
Fees charged by payment institutions and acquirers are, where applicable, shown separately. They are not collected by Joodness.
11. Refund of a donation
A validated donation is irrevocable and gives no right to a refund, except in the case of:
- an obvious input error reported within forty-eight (48) hours and before any payment to the association;
- a fraudulent or unauthorised operation;
- the impossibility of paying the funds over to the beneficiary association, in which case the donor is contacted.
A refunded donation entails cancellation of the corresponding receipt, by issuing a corrective document referring to the original receipt.
12. Price changes
Joodness may change its prices. Any change is notified at least sixty (60) days before it takes effect and applies only from the next renewal. A customer who refuses it may terminate free of charge before that date.
13. Warranties and liability
Joodness is bound by an obligation of means (best-efforts obligation) as regards the availability and proper functioning of the platform.
Except in the event of gross negligence or wilful misconduct, and within the limits permitted by law, Joodness's liability under these Terms of Sale is limited to the amount of the sums actually paid by the customer during the twelve (12) months preceding the event giving rise to the claim.
Joodness is not responsible for the tax treatment of donations in the customer's own situation, nor for an association's compliance with its legal obligations.
14. Force majeure
Neither party is liable for a failure resulting from force majeure. If the impediment lasts more than sixty (60) days, either party may terminate as of right, with a pro rata refund.
15. Changes to the Terms of Sale
Joodness may amend these Terms of Sale. Any substantial change is notified at least thirty (30) days before it takes effect and applies only from the next renewal.
16. Governing law and jurisdiction
These Terms of Sale are governed by Moroccan law. The jurisdiction clause is set out above.
